The agreement between you and Patriot Newswire when you use this site
or submit a release for distribution.
1. Acceptance of these terms
These Terms of Use ("Terms") form an agreement between you and Patriot Newswire ("Patriot Newswire", "we", "us") covering your use of this website and of the press release distribution services we provide through it and through our platform.
By using the site, creating an account or submitting a release, you accept these Terms. If you are accepting them for a company or another organisation, you confirm that you are authorised to bind that organisation, and "you" means that organisation.
If you do not accept these Terms, do not use the site or the service.
2. The service
Patriot Newswire is a press release distribution service. We transmit press releases supplied or commissioned by our customers to media outlets, syndication partners, aggregators and financial platforms located in or serving the United States.
We distribute to United States outlets only. We do not offer international distribution, and we do not act as a public relations agency: we do not pitch journalists on your behalf, place editorial coverage, or represent you to the media.
Distribution is a transmission service. We do not control whether any particular outlet publishes a release, how long it remains published, or how it is presented. Section 7 sets out what we do guarantee.
3. Accounts
Some parts of the service require an account. You are responsible for the accuracy of the information you provide, for keeping your credentials confidential, and for all activity that takes place under your account.
Tell us promptly if you believe your account has been accessed without your authorisation. We may suspend an account where we reasonably believe it has been compromised or is being used in breach of these Terms.
4. Your content and your warranties
You retain ownership of the press releases, images, logos, media and other material you submit ("Your Content"). You grant us a non-exclusive, worldwide, royalty-free licence to reproduce, format, transmit, publish and sub-licence Your Content for the purpose of distributing it and reporting on that distribution. That licence continues after distribution to the extent necessary, because material already published by third-party outlets cannot be recalled.
For each release you submit, you represent and warrant that:
- You own Your Content or have all rights and permissions needed to submit and distribute it, including permission for every third-party name, quotation, image, logo and trademark it contains.
- The content is accurate and not misleading, and any statistic, claim or comparison in it can be substantiated on request.
- The content does not infringe any intellectual property right, right of publicity or privacy right, and is not defamatory.
- The content complies with all laws that apply to it, including securities, advertising, consumer protection and disclosure laws.
- Any person quoted has approved their quotation.
- If the release concerns a publicly traded company, you are authorised to issue it and it complies with the disclosure obligations that apply to that company.
5. Editorial review and refusal
Every release is reviewed by an editor before distribution. Review is a quality and acceptability check against the standards American newsroom desks apply. It is not legal review, fact-checking, or verification of any claim you make, and it does not shift responsibility for Your Content to us.
We may refuse, delay, edit for format, or withdraw any release, in whole or in part, at our discretion. We will normally tell you why, and where we refuse a release before distribution begins we will refund the fee for that release.
6. Prohibited content
You may not submit content that:
- Is false, deceptive or designed to manipulate a market or a security price.
- Promotes securities fraud, pump-and-dump schemes or unregistered offerings.
- Infringes a third party's copyright, trademark, patent or trade secret.
- Is defamatory, harassing, obscene, or incites violence or unlawful activity.
- Discloses personal data about an identifiable person without a lawful basis and their consent where required.
- Advertises unlawful goods or services, or products whose advertising is restricted without meeting those restrictions.
- Impersonates any person or organisation, or misrepresents your affiliation with one.
- Contains malware, tracking code, or links intended to deceive.
We may remove or decline such content and may terminate accounts that submit it repeatedly, without refund.
7. Placements, reporting and guarantees
Where a package specifies a guaranteed minimum number of live placements, that guarantee is the commitment we make and the limit of it. A placement counts when the release is published by an outlet in the agreed network at a publicly reachable URL.
If we do not meet a stated guaranteed minimum for a release, your remedy is, at our option, a redistribution of that release or a pro-rata refund of the fee for it.
We do not guarantee any specific outlet, any particular position or prominence, any level of traffic, engagement, search ranking, or business outcome, or that a placement will remain published. Outlets remove, archive and reorganise content at their own discretion.
Placement reports describe the position at the time of reporting. Links that later break are outside our control.
8. Fees, payment and refunds
Fees are those quoted on the platform or in a written quotation at the time you order. Unless stated otherwise, fees are in United States dollars and exclusive of any applicable taxes, which you are responsible for.
Payment is due before distribution. Once distribution has begun, a release cannot be recalled and the fee is non-refundable except as set out in section 5 (pre-distribution refusal) or section 7 (missed guaranteed minimum).
If you dispute a charge, contact us before raising a chargeback so we can resolve it directly.
9. Our intellectual property
The site, the platform, the Patriot Newswire name and logo, and the selection, arrangement and presentation of the outlet network are our property or that of our licensors. Nothing in these Terms transfers any of it to you.
You may not scrape, copy, resell or redistribute our outlet lists, pricing or placement data, or use the site to build a competing service.
10. Third-party outlets and links
Outlets in our network are independent third parties. We do not control them, we are not responsible for their content, editorial decisions, availability or privacy practices, and a placement does not imply their endorsement of you or of us.
Outlet names shown on this site identify networks within our distribution footprint. Specific placements vary by package, news cycle and the editorial discretion of each newsroom. Third-party names and marks belong to their respective owners and are used for identification only.
11. Disclaimers
The site and the service are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, title and non-infringement.
We do not warrant that the site or the platform will be uninterrupted, timely, secure or error-free. Nothing on this site is legal, financial, investment or tax advice.
12. Limitation of liability
To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost data, loss of goodwill or business interruption, however caused and on any theory of liability.
To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the service is limited to the fees you paid to us for the release or releases giving rise to the claim.
Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you.
13. Indemnity
You will indemnify, defend and hold harmless Patriot Newswire and its officers, employees and contractors from and against any claim, demand, loss, liability, damage, penalty, cost or expense (including reasonable legal fees) arising out of or relating to Your Content, your breach of these Terms, or your violation of any law or third-party right.
14. Suspension and termination
You may stop using the service at any time. We may suspend or terminate your access where you breach these Terms, where we are required to by law, or where continuing to serve you would expose us to legal or reputational risk.
Sections that by their nature should survive termination — including sections 4, 9, 11, 12, 13 and 16 — survive it.
15. Changes
We may change the service and these Terms. Where a change is material we will update the "last updated" date above and, for account holders, give notice through the platform or by email. Continuing to use the service after a change takes effect means you accept the revised Terms. Changes do not apply retroactively to a release already distributed.
16. Governing law and disputes
These Terms are governed by the laws of the State of Delaware and the federal laws of the United States, without regard to conflict-of-law rules. You and we submit to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute that is not resolved informally.
Before filing a claim, each party agrees to try to resolve the dispute informally by contacting the other and allowing thirty days to respond.
